I've got the same issue, and I've tried all the solutions posted so far, but with no luck.  My Windows 7 is not an upgrade; this is a brand new factory built system that I got today, with a preinstall of Windows 7 Home Premium (64-bit).  I attempted numerous installs and reinstalls of GFWL and Halo 2.  I completely uninstalled Steam and all Steam apps, and all traces of GWFL and Halo 2.  I attempted to run with both GFWL 1.0 and the latest version.  I tried the "rename catroot2" process mentioned in a microsoft.com support article I found as a Google search result, which made it take longer for the GWFL to fail. 

I can't imagine that in the 5 hours I've had this machine that the signature validation system could have been corrupted, especially since the last 3.5 of those hours have been devoted to installing Halo 2.  The only thing I can see is that no matter what I do, I am unable to even locate Xlive.dll - it doesn't seem to be a part of the GFWL install from the Halo 2 DVD.

 

Ok, solved the problem.  For anyone in a similar situation, what finally worked for me was using System Restore to go back to a very early restore point - possibly the first one, from before I installed anything except Avast.  Then I did a full install (without playing) and it worked fine and updated Windows Live and Halo 2 a few times, then it worked fine.  I'm going to install Steam and begin downloading while I sleep; I'll post again if it fails after that.

This is a good lesson for everyone.  Every time I install a new program I set a restore point and this has saved my azz more than once.  Very easy to do and very easy to correct.

Espescially for large programs that make changes to your systems, anti virus programs, system tools, system mods etc., be sure to set a restore point before you continue.  Many programs will now set a restore point as the first step of the install process, but I will still set a restore point first.

When you use the add/remove programs feature in windows, it will automatically set a restore point as well, and.........

Well, I restored my system to exactly how it was out of the box and tried Halo 2, and I'm still getting the same error.

OK.  So, you restored to out of box aka first restore point created?  Or you ran system restore (aka reformat)?

What were the windows updates that failed?  What were the ones that installed?

Steam does not have anything to do with XLive.dll so I can't imagine it is whats breaking it. 

After your restore you tried Halo2 again, was this the first game install?  or did you already have the LIVE client on your machine?

IF you already had LIVE on your machine, in what manner did you install Halo 2?

If you use the tray and play install and sign into LIVE a prompt will pop up saying there is an update for this program and ask you to install it, the problem is, it will do this even if the install has not completed, it will "apply the update" restart the program and crash as the install is corrupted due to it being incomplete.

If you did a repair I could potentially see how the issue would still remain, but if you formatted I really don't see how it's possible that the error would persist, unless Avast is preventing certain aspects of Halo 2 or LIVE from installing on your machine.

Also could you provide a list of the active tasks you have running and the error from the event log?

Well, it told me it was reformatting, so I would assume it was a destructive format, but it also didn't take as long as I felt it should, only 30-60 minutes, if that.

tasklist /M xlive.dll results in the message "INFO: No tasks are running which match the specified criteria."

Ok, i went under that tab, and a whole bunch of errors flooded the screen when i loaded h2v and refreshed the event viewer, and i got the error Anchel did (live gaming on windows failed to intialize). Also, here is an image:

Ive noticed that im also getting the exact same series of errors when trying to launch Halo 2 as well as the the error that Archel posted about the dedicated servers, however the only real difference was my Xlive error code which is "0x8004888d".

I will be posting the information requested in the OP later tonight as im at work and unable to do the requested proccess, I just felt that it would be at least a good heads up.

Id also like to add that before i uninstalled halo 3, i first tried uninstalling the map editor, however that didn't solve the issue

 

as well as when i looked at the application list when pulling up my task manager, I happened to notice 2 "Halo2.exe" running, I forgot to also post that however i can add that later tonight if that would help.

Ok Let me see if I get this right:

Step 1 Installed Halo 2.

Step 2 Halo 2 Returned above error.

Step 3 Uninstall Halo2

Step 4 Selected "Full Install and Don't Play" option for installing Halo 2

Step 5 Halo 2 again returned same error

Step 6 Uninstalled Games for Windows - LIVE and Games for Windows - LIVE redistributable and deleted associated folders? (assumption)

Step 7 Re-installed Games for Windows - LIVE Client/redistributable from http://www.microsoft.com/games/en-us/live/pages/livemarketplace.aspx (assumption)

Step 8 Rebooted PC

Step 9 Halo 2 Returned above error

If that list is correct I may know what you could do to fix it:

uninstall Halo 2, Delete associated folders

Uninstall Games for Windows - LIVE client/redistributable delete associated files.

Restart computer

Install halo 2 via "full install then play" (choosing that option to cut down on variables you do not need to activate it yet)

Installing Halo 2 from disc will install base LIVE, after install completes attempt to Run Halo 2

IF - Halo 2 returns error please report back

IF - Halo 2 asks to restart as there is a new version of LIVE please select yes to restart now.

IF - It restarts and returns same error please post back

IF - It asks to apply a title update please apply update

IF - upon restart of Halo 2 it errors out Please report back with error

IF - it works please let me know so I can pass word along :)

Hrm just got tossed an email from a user with same/similar issue, adding here for completeness' sake:

Hear is my situation. Just bought a new DELL (nice system) so I can
play more modern games. I've put the purchase off for years and the
main reason I bought it was to play HALO 2. Had the system a week and
just bought Halo 2 and now this happens.
 
I followed the instruction you gave in the forum and they did not help
me. Uninstalled both pieces of the live software. Uninstalled Halo
2. Deleted the folders you indicated. Search out other things
related and cleaned everything out. Turned off my anti-virus.
Reboot. Install Halo 2 (and it installed Live 1.0). Still get the
same 'Live Gaming on windows failed to initialize';
 
I'll paste or attach the information you requested.
 
Thanks for all your help and hope there is a solution/patch soon.
Halo 2 is the reason I bought this system.
